These Developer Terms govern access to and use of Boxpressd SDKs, APIs, developer tools, sample code, documentation, authentication credentials, webhooks, and related developer services.

Overview

These SDK / Developer Terms (“Developer Terms”) govern your access to and use of any Boxpressd software development kit, application programming interface, developer tools, sample code, documentation, authentication credentials, webhooks, or related developer services we make available now or in the future, collectively referred to as the “SDK” or “Developer Services.”

These Developer Terms are between Boxpressd LTD (“Boxpressd,” “we,” “us,” and “our”) and the individual or entity using the SDK (“Developer,” “you,” or “your”).

If you use the SDK on behalf of a company or other organization, you represent that you have authority to bind that organization to these Developer Terms.

1. Acceptance of Terms

By accessing, integrating, testing, or using the SDK or Developer Services, you agree to be bound by these Developer Terms and any additional policies, technical requirements, usage limits, brand guidelines, or documentation we publish.

If you do not agree, do not use the SDK or Developer Services.

2. Developer Eligibility

You may use the SDK only if you:

  • are legally able to enter into a binding contract
  • are using the SDK for lawful business, development, testing, or integration purposes
  • are not barred from using the SDK under applicable law
  • will comply with all applicable laws, including privacy, security, consumer protection, intellectual property, and export-control laws

We may request identity verification, business verification, tax information, or other documentation before granting access.

3. License Grant

Subject to these Developer Terms, Boxpressd grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to use the SDK solely to develop, test, integrate, and operate applications or services that interact with Boxpressd-authorized systems.

This license does not give you ownership of the SDK, Boxpressd systems, or Boxpressd intellectual property.

4. Permitted Use

You may use the SDK only for purposes expressly permitted by these Developer Terms and our documentation.

Permitted use generally includes:

  • connecting an application to Boxpressd-authorized services
  • testing integrations
  • using sample code and documentation as provided
  • making requests within published limits
  • storing and processing only the data needed for your authorized integration

You are responsible for your application, your users, and your implementation.

5. Prohibited Use

You agree not to, and not to allow others to:

  • use the SDK for any unlawful, harmful, deceptive, or abusive purpose
  • access the SDK or related systems through unauthorized methods
  • bypass rate limits, authentication controls, permissions, or security protections
  • reverse engineer, decompile, disassemble, or otherwise attempt to derive source code from the SDK or related systems, except where prohibited by law
  • scrape, crawl, bulk extract, or harvest data except as expressly authorized
  • resell, sublicense, distribute, or commercialize the SDK itself
  • use the SDK to build a competing service that substantially replicates Boxpressd functionality without permission
  • interfere with, disrupt, or overload the SDK or related systems
  • introduce malware, harmful code, or security vulnerabilities
  • misrepresent your identity, your application, or your intended use
  • use the SDK in connection with spam, fraud, phishing, or deceptive activity
  • use the SDK to violate age-restriction, tobacco, shipping, privacy, or consumer-protection laws
  • attempt any of the above

We may suspend or revoke your access immediately if we believe you violated these Developer Terms.

6. Developer Account and Credentials

To use certain SDK features, you may need an account, API key, secret, token, certificate, or similar credentials.

You are responsible for:

  • keeping all credentials confidential
  • securing your systems and code
  • restricting access to authorized personnel only
  • preventing unauthorized use, leakage, or misuse
  • notifying us immediately if credentials are lost, compromised, or suspected to be compromised

You are fully responsible for activity that occurs under your credentials.

7. Rate Limits and Technical Restrictions

We may set or change rate limits, quotas, request limits, concurrency limits, feature access, usage caps, or other technical restrictions at any time.

You agree not to attempt to bypass, manipulate, or evade those limits.

We may throttle, suspend, or block traffic that we believe is abusive, excessive, harmful, or inconsistent with these Developer Terms.

8. Updates, Changes, and Deprecation

We may update, modify, replace, or discontinue the SDK, endpoints, features, methods, documentation, or support materials at any time.

We may also:

  • change compatibility requirements
  • remove outdated versions
  • deprecate features
  • require upgrades
  • discontinue support for older versions

We are not required to maintain any specific SDK version indefinitely.

9. Support and Availability

Unless we expressly agree otherwise in writing, we do not guarantee:

  • uptime
  • response times
  • bug fixes
  • compatibility
  • support availability
  • error correction within any specific timeframe

Any support we do provide is discretionary unless covered by a separate written support agreement.

10. Third-Party Services and Dependencies

The SDK may rely on, connect to, or interact with third-party services, libraries, platforms, or tools.

We are not responsible for third-party:

  • outages
  • changes
  • pricing
  • security incidents
  • API deprecations
  • terms of use
  • performance issues

If a third-party service changes or becomes unavailable, your integration may stop working or require changes.

11. Developer Application Responsibilities

You are solely responsible for your application, website, software, service, content, and end users.

You must ensure that your application:

  • complies with all applicable laws
  • provides accurate and lawful disclosures
  • obtains any required consent
  • complies with age-verification rules where applicable
  • protects personal information
  • uses the SDK only as authorized
  • does not create unsafe, misleading, unlawful, or deceptive user experiences

If your application supports tobacco-related commerce, you are responsible for making sure it complies with all tobacco, age-gating, shipping, labeling, and advertising restrictions.

12. Data Protection and Privacy

You may only collect, use, store, or disclose data obtained through the SDK as permitted by these Developer Terms, our instructions, our Privacy Policy, and applicable law.

You agree to:

  • use personal data only for authorized purposes
  • implement reasonable technical and organizational safeguards
  • provide legally required notices and consents
  • delete or return data when required by law or by us
  • not share or use data in a way that violates privacy laws or user expectations

If you process personal data for others, you may be required to enter into a separate data processing agreement.

13. Security Obligations

You must maintain reasonable security practices, including:

  • secure credential storage
  • encryption where appropriate
  • access controls
  • vulnerability management
  • logging and monitoring
  • secure software development practices
  • prompt patching of known issues

You must not use the SDK in a way that increases security risks to Boxpressd or our users.

You must promptly report any suspected security incident, unauthorized access, data breach, or vulnerability involving the SDK or Boxpressd systems.

14. Intellectual Property

Boxpressd and its licensors own all rights, title, and interest in and to the SDK, documentation, code, branding, designs, data formats, and related intellectual property, except for materials you own or lawfully license.

Except as expressly permitted in these Developer Terms, you may not:

  • copy, modify, distribute, or create derivative works from the SDK
  • remove proprietary notices
  • use Boxpressd trademarks, logos, or branding without permission
  • suggest that your application is sponsored, endorsed, or certified by Boxpressd unless we have expressly authorized that in writing

15. Attribution and Brand Usage

Unless Boxpressd expressly agrees otherwise in writing, you must display a “Powered by Boxpressd” attribution badge or text link in any application, website, service, or integration that uses the SDK or Developer Services.

The attribution must:

  • be placed in a reasonably visible location
  • comply with our current brand guidelines and media kit
  • link to the URL we designate, which may be our media kit, brand page, or another Boxpressd webpage
  • not be removed, obscured, hidden, altered, or disabled
  • not be modified in a way that suggests false endorsement, sponsorship, or certification
  • use only the Boxpressd brand assets, logo files, color values, fonts, and other materials we make available or approve

Our media kit, brand guidelines, and attribution instructions are incorporated into these Developer Terms by reference and may be updated from time to time. Your continued use of the SDK means you agree to comply with the then-current version of those materials, unless we expressly agree otherwise in writing.

If you fail to comply with these attribution requirements, we may suspend or terminate your access to the SDK or require you to immediately remove the integration until the issue is corrected.

16. Your Content and Application Materials

If you provide content, code, feedback, suggestions, bug reports, documentation, or other materials to Boxpressd, you grant us a worldwide, perpetual, irrevocable, royalty-free, fully paid, transferable, sublicensable license to use, modify, reproduce, distribute, display, and otherwise exploit those materials for any lawful business purpose, including improving the SDK and our products.

You represent that you have the rights necessary to submit those materials and that they do not infringe any third-party rights.

17. Feedback

If you send us ideas, suggestions, enhancement requests, or recommendations, you agree that we may use them without obligation to compensate you or keep them confidential.

18. Warranties and Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SDK, DOCUMENTATION, SAMPLE CODE, AND DEVELOPER SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY.

WE DO NOT WARRANT THAT:

  • THE SDK WILL BE ERROR-FREE OR UNINTERRUPTED
  • YOUR APPLICATION WILL OPERATE WITHOUT FAILURES
  • THE SDK WILL BE COMPATIBLE WITH EVERY SYSTEM OR DEVICE
  • DEFECTS WILL BE CORRECTED
  • THE SDK WILL MEET YOUR BUSINESS, TECHNICAL, OR LEGAL REQUIREMENTS

19. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BOXPRESSD AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE SDK OR THESE DEVELOPER TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SDK OR THESE DEVELOPER TERMS WILL NOT EXCEED THE GREATER OF:

  • the amount you paid to Boxpressd for the SDK or related Developer Services in the 12 months before the event giving rise to the claim
  • US $100

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

20. Indemnification

You agree to defend, indemnify, and hold harmless Boxpressd and its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising from or relating to:

  • your application or services
  • your use of the SDK
  • your violation of these Developer Terms
  • your violation of law
  • your violation of any third-party right
  • your misuse of data
  • your security failures
  • any claim that your application or content infringes or misappropriates the rights of another person or entity

We reserve the right to assume exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with our defense.

21. Suspension and Termination

We may suspend, restrict, or terminate your access to the SDK or Developer Services at any time, with or without notice, if:

  • you violate these Developer Terms
  • we suspect fraud, abuse, or security risk
  • your application creates technical, legal, or reputational risk
  • you misuse data or credentials
  • you fail to comply with the attribution requirements
  • we discontinue the SDK or a feature
  • termination is required by law

Upon termination:

  • your license ends immediately
  • you must stop using the SDK
  • you must delete or return Boxpressd materials if we request that
  • certain provisions will survive, including intellectual property, confidentiality, disclaimers, limitations, indemnities, and dispute resolution

22. Confidentiality

If we provide non-public technical, business, security, or roadmap information, you agree to keep it confidential and use it only for authorized SDK use.

You may disclose confidential information only to personnel who need to know it and who are bound by confidentiality obligations at least as protective as these Developer Terms.

23. Compliance With Law

You must comply with all applicable laws and regulations, including:

  • privacy and data protection laws
  • consumer protection laws
  • intellectual property laws
  • export control and sanctions laws
  • tobacco-related, age-verification, and marketplace compliance laws, if your application touches those activities

You are solely responsible for determining whether your use of the SDK is lawful in the jurisdictions where you and your users operate.

24. Monitoring and Audit Rights

We may monitor usage of the SDK for security, compliance, quality control, fraud prevention, and operational purposes.

If we reasonably believe you violated these Developer Terms, we may request information from you, including:

  • your application name
  • integration details
  • logs or records related to usage
  • security incident information
  • proof of compliance

You agree to reasonably cooperate with any such request.

25. No Support for Illegal or Restricted Activity

You may not use the SDK in connection with illegal activity, age-gate evasion, tobacco sales to minors, or any transaction that would violate applicable law or our policies.

If your application is used for regulated commerce, you must ensure that all required notices, verification steps, and restrictions are implemented.

26. Governing Law and Venue

These Developer Terms are governed by the laws of the State of South Carolina, without regard to conflict-of-laws rules, except where consumer or other non-waivable law requires otherwise.

To the extent permitted by law, any dispute arising out of or relating to these Developer Terms must be brought exclusively in the state or federal courts located in Richland County, South Carolina, and you consent to personal jurisdiction and venue in those courts.

27. Entire Agreement

These Developer Terms, together with any documentation, policies, technical specifications, media kit, brand guidelines, or written agreements we reference, form the entire agreement between you and Boxpressd regarding the SDK and Developer Services.

If there is a conflict, any separately signed agreement or order form controls to the extent it expressly states otherwise.

28. Changes to These Developer Terms

We may update these Developer Terms from time to time. If we do, we will post the updated version and revise the “Last updated” date.

Your continued use of the SDK after changes are posted means you accept the updated Developer Terms, to the extent permitted by law.
