Terms of Sale

These Terms of Sale (“Terms of Sale” or “Terms”) govern your access to and use of the Boxpressd website at boxpressd.app and any related mobile application, software, features, tools, and services we offer now or in the future that link to these Terms, collectively referred to as the “Services.”

Boxpressd operates a marketplace for cigar-related and other tobacco-related products. By visiting our platform, browsing listings, creating an account, or purchasing a product, you agree to these Terms and to any additional terms, policies, and seller-specific conditions referenced here or made available through the Services.

If you do not agree to these Terms, do not use the Services.

By accessing or using the Services, you agree to be bound by these Terms and to form a legally binding contract with Boxpressd LTD (“Boxpressd,” “we,” “us,” and “our”).

If you are using the Services on behalf of a business or other legal entity, you represent that you have authority to bind that entity to these Terms.

Boxpressd is a marketplace platform. Some products are sold by Boxpressd, and others are sold by independent third-party sellers, merchants, or vendors (“Sellers”).

When you purchase from a Seller:

• you are buying directly from that Seller, not from Boxpressd, unless we clearly say otherwise
• the Seller may have its own terms, policies, shipping rules, return rules, and age-verification requirements
• the Seller’s terms may be more restrictive than Boxpressd’s policies, to the extent allowed by law

Boxpressd may provide the platform, payments infrastructure, listing tools, customer support tools, communications features, and related services, but does not guarantee or endorse any Seller, product, or listing.

The Services are intended only for adults who are of the legal age required to purchase or use tobacco-related products in their jurisdiction, and in no event under 18 years old.

By using the Services, you represent and warrant that:

• you meet the applicable legal age requirement
• you have the legal capacity to enter into a binding contract
• you are using the Services only for lawful purposes
• you will comply with all applicable laws, including tobacco, age-verification, sales, shipping, and consumer protection laws

We reserve the right to verify age and identity at any time and to refuse, cancel, or restrict any order or account if we believe the age or identity information is false, incomplete, or unsupported.

We may revise these Terms from time to time at our sole discretion. If we make material changes, we will post the updated Terms on the Services and update the “Last updated” date above.

Your continued use of the Services after the updated Terms are posted means you accept the changes, to the extent permitted by law.

You agree not to use the Services for any illegal or unauthorized purpose. You also agree not to violate any laws in your jurisdiction, including laws relating to tobacco sales, age-restricted products, consumer protection, fraud, intellectual property, or privacy.

You must not transmit worms, viruses, malware, or other harmful code.

A breach of these Terms may result in suspension or termination of your access to the Services and may also result in cancellation of orders, removal of listings, or other action permitted by law.

We reserve the right to refuse service, cancel orders, or restrict access to the Services, in each case to the extent permitted by law.

You agree not to reproduce, duplicate, copy, sell, resell, scrape, exploit, or commercially use any portion of the Services, or any contact or content obtained through the Services, without our prior written permission.

The headings in these Terms are for convenience only and do not affect interpretation.

We do not guarantee that information on the Services is accurate, complete, current, or error-free.

Product descriptions, pricing, availability, shipping times, and Seller information may change at any time. You understand that any reliance on the Services is at your own risk.

We may update or correct the Services at any time, but we are not obligated to do so unless required by law.

Some products and services may be available exclusively online and may have limited quantities.

We reserve the right, but are not obligated, to:

• limit sales to any person, geographic region, or jurisdiction
• limit quantities per order, household, account, payment method, or shipping address
• discontinue any product or listing at any time
• reject or cancel any order
• place restrictions on specific products based on age, state law, carrier rules, Seller policy, or compliance concerns

All product descriptions, images, pricing, and availability are subject to change without notice, to the extent permitted by law.

Because many products sold through the marketplace are cigar-related or otherwise tobacco-related, some products may be final sale, non-returnable, non-exchangeable, or subject to special shipping and handling rules.

Prices are subject to change without notice.

You are responsible for all applicable taxes, duties, shipping charges, handling fees, and other fees disclosed at checkout or imposed by law, unless we state otherwise.

If a Seller or Boxpressd charges additional fees, those fees will be disclosed before purchase where required by law.

We reserve the right to refuse, cancel, or limit any order for any reason, including suspected fraud, age issues, compliance concerns, inventory limits, or Seller restrictions.

We may limit or cancel quantities purchased per person, per household, per order, credit card, billing address, shipping address, account, or payment instrument.

If we change or cancel an order, we may attempt to notify you using the contact information you provided.

You agree to provide current, complete, and accurate purchase and account information and to promptly update your account information so that we can complete your transactions and contact you as needed.

Because Boxpressd is a marketplace, each Seller may have its own:

• refund policy
• return window
• exchange rules
• warranty terms
• damage-claim deadline
• final-sale restrictions
• shipping policies
• customer service procedures

By placing an order, you agree that the Seller’s posted terms apply to that transaction to the extent allowed by law. If there is a conflict between these Terms and the Seller’s terms, the Seller’s terms will control for that order, unless prohibited by law.

Shipping times are estimates only unless we or the Seller expressly state otherwise.

Title and risk of loss for physical goods may pass according to the Seller’s terms, the applicable shipping terms, and applicable law. You are responsible for providing a correct shipping address and for accepting delivery.

If a package is marked delivered by the carrier, that will generally be treated as delivery unless applicable law or the Seller’s policy says otherwise.

Because cigar products may be sensitive to humidity, temperature, and handling, you should inspect shipments promptly after delivery and report any damage within a reasonable time.

Many products sold through the Services are tobacco-related, including cigars and cigar accessories. By placing an order, you represent that:

• you are of legal age to purchase the product in your jurisdiction
• you are purchasing for lawful personal or permitted business use
• you will comply with all applicable laws relating to possession, transport, storage, and use
• you understand that certain tobacco-related items may be restricted, final sale, or non-returnable

We may require age verification, identity verification, signature confirmation, or other compliance steps before completing or delivering an order.

We reserve the right to cancel any order if we cannot verify age, identity, legality, or shipping eligibility.

If your item arrives damaged, defective, missing, or incorrect, you must notify us or the applicable Seller within a reasonable time after delivery, and in any event within the timeframe stated in the Return and Refund Policy or Seller terms.

For tobacco-related products, damage or defect claims should be reported promptly, ideally within 7 days of delivery or sooner if the Seller’s policy requires earlier notice.

We may require photos, tracking information, packaging images, or other supporting documentation before approving a claim.

Promotions, coupon codes, discounts, giveaways, and gift card offers may be subject to additional terms.

We may modify or cancel promotions at any time, subject to applicable law.

Unless otherwise stated, promotional offers:

• are non-transferable
• have no cash value
• may not be combined with other offers
• may be limited to certain products, Sellers, or regions

We may provide access to third-party tools or integrations over which we have no control.

You acknowledge that such tools are provided “as is” and “as available” without warranties or endorsements. Your use of third-party tools is at your own risk and subject to the third party’s terms.

The Services may contain links to third-party websites, services, products, or software.

We are not responsible for third-party content, products, services, policies, or practices. You should review the third party’s terms and privacy policy before interacting with them or making a purchase.

Complaints or questions about third-party products or services should be directed to the third party.

If you submit comments, reviews, suggestions, ideas, images, listings, or other materials to us, whether requested or unsolicited, you grant us a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to use, reproduce, modify, publish, translate, distribute, and display that content in connection with the Services and our business.

You agree that your submissions will not:

• violate any law or third-party right
• contain false, misleading, defamatory, obscene, or abusive material
• include malware or harmful code
• impersonate another person
• mislead us or others about their origin
• violate these Terms or any Seller rules

We may, but are not required to, monitor, edit, or remove user submissions.

Your submission of personal information through the Services is governed by our Privacy Policy. Please review it carefully.

We may disclose information as permitted or required by law, including where reasonably necessary to:

• investigate suspected illegal activity
• enforce these Terms or the Privacy Policy
• respond to legal process or government requests
• protect the rights, property, safety, or security of Boxpressd, our users, Sellers, or others

You may not use the Services:

• for any unlawful purpose
• to solicit unlawful acts
• to violate any law or regulation
• to infringe intellectual property or other rights
• to submit false, deceptive, or misleading information
• to upload viruses, malware, or malicious code
• to collect or track personal information of others without authorization
• to spam, phish, scrape, crawl, or use automated access without permission
• to interfere with the security or operation of the Services
• to circumvent age gates, verification tools, or regional restrictions
• to misrepresent your age, location, identity, or eligibility to purchase tobacco-related products
• to use the Services in a way that would violate tobacco compliance requirements
• for any obscene, abusive, or otherwise objectionable purpose

We may terminate or restrict access for violations of this section.

We may refuse, suspend, restrict, or terminate access to any account, listing, order, or feature at any time, with or without notice, if we believe doing so is necessary to:

• comply with law
• enforce these Terms or Seller terms
• prevent fraud or abuse
• address age-verification or shipping concerns
• protect users, Sellers, or Boxpressd
• maintain the integrity of the marketplace

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES, BOXPRESSD CONTENT, SELLER CONTENT, THIRD-PARTY CONTENT, AND ALL PRODUCTS AND SERVICES PROVIDED THROUGH THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY.

WE DO NOT WARRANT THAT:

• THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE
• DEFECTS WILL BE CORRECTED
• LISTINGS OR PRODUCT DESCRIPTIONS WILL BE COMPLETE OR CURRENT
• ANY PRODUCT WILL MEET YOUR EXPECTATIONS
• ANY SELLER OR THIRD PARTY WILL PERFORM AS EXPECTED

Some jurisdictions do not allow certain warranty disclaimers, so some of the above may not apply to you.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BOXPRESSD AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, SERVICE PROVIDERS, AND PARTNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICES OR ANY PRODUCT PURCHASED THROUGH THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

• the amount you paid to Boxpressd for the transaction giving rise to the claim
• US $100

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

You agree to defend, indemnify, and hold harmless Boxpressd and its affiliates, officers, directors, employees, agents, licensors, service providers, and partners from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising from or related to:

• your use of the Services
• your violation of these Terms
• your violation of any Seller terms
• your violation of any law or third-party right
• your misuse of any product, listing, or feature

We may assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with our defense.

These Terms remain in effect until terminated by you or by us.

You may stop using the Services at any time. We may suspend or terminate your access at any time, with or without notice, if we believe you violated these Terms or if we need to do so for legal, compliance, or operational reasons.

Any obligations and liabilities incurred before termination will survive termination.

These Terms and any related dispute will be governed by the laws of the State of South Carolina, without regard to conflict-of-laws rules, except where consumer law requires otherwise.

To the extent permitted by law, any dispute arising out of or relating to these Terms or the Services must be brought exclusively in the state or federal courts located in Richland County, South Carolina, and you consent to personal jurisdiction and venue in those courts.

If applicable consumer law gives you a non-waivable right to bring claims elsewhere, this section will be applied only to the extent permitted by law.

To the extent permitted by law, any claim arising out of or relating to the Services must be brought within one year after the claim first arose, or it will be permanently barred.

This limitation does not apply where prohibited by law.

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.

These Terms, together with our Privacy Policy, Return and Refund Policy, and any Seller-specific terms or policies made available through the Services, constitute the entire agreement between you and Boxpressd regarding the Services.

Our failure to enforce any provision will not be a waiver of that provision.

Any ambiguity will not be construed against the drafting party to the extent permitted by law.
